Dynamiclear Affiliate Agreement

This agreement describes the terms and conditions for participation in the Dynamiclear Affiliate Program, we look forward to you becoming a successful partner.

Affiliate Tracking

Our affiliate tracking software will create a unique URL specifically for you when you join the program. This URL should be used at all times when directing traffic/customers to the system.

This URL is used to track all orders that are directed from your account. The affiliate link will direct your visitors seamlessly to the specific Dynamiclear page you choose.

Commissions

1st Tier Commissions

Affiliates receive a sliding scale commission on each order placed through their Dynamiclear Affiliate Account. For an order to generate a commission it must be deemed a valid order. Once an order is processed successfully it will be credited to the corresponding affiliate's account.

1st Tier Commission Rates:

1 to 19 orders sold in a single month - $20.00 an order
20 to 99 orders sold in a single month - $30.00 an order
100 and more orders sold in a single month - $35.00 an order

2nd Tier Commissions

Affiliates will receive a 2nd tier commission for all successful orders placed through sub-affiliates of their Dynamiclear Affiliate Account.

2nd Tier Commission Rates:

$5.00 per order

Commission Payments

Dynamiclear will make payment for the applicable commissions within approximately 15 days after the end of each calendar month. If a customer returns an order which generated a referral fee, or if there are any returned checks or charge backs, the amount may be deducted from the next monthly account balance.

Commissions will only be paid on sales that are made through qualified Affiliate Sites and fall within our guidelines.

Qualification for Commissions

Affiliates must have an active link from their web site to their Affiliate site to qualify for commissions. Links must be sent to us, so that they can be verified and approved by Dynamiclear before the Affiliates account is deemed to be active.

In order to qualify for commissions on sales and sales of sub-affiliates in any given month an affiliate must be abiding by the policies of the Dynamiclear Affiliate Program

Customer Service

Dynamiclear will be solely responsible for processing every order placed by a customer. Dynamiclear Inc reserves the right to reject any order that does not comply with our rules, operating procedures and policies.

Order Fulfillment

Customers who purchase products and services through the Dynamiclear Affiliate Program will be deemed to be customers of Dynamiclear. Accordingly, all Dynamiclear rules, policies, and operating procedures concerning customer orders and services will apply to those customers. We may change our policies and operating procedures from time to time.

Prices and availability of our products and services may vary from time to time. Dynamiclear policies will always determine the price paid by the customer.

Affiliate Responsibilities

Dynamiclear reserves the right not to accept any site or person into the Dynamiclear Affiliate Program based on their site's content. Sites and affiliates that do not qualify for the Dynamiclear Affiliate Program include sites or people who:

• Use any form of Spam Promotion methods
• Use any form of misleading information or statements

Any affiliate who promotes the Dynamiclear Affiliate Program by any of the means above may lose their commissions and could have their Dynamiclear Affiliate Account terminated. If you have any question concerning promotion ideas please contact us before you begin any activities, or if you have any concerns.

Responsibility of Your Site

You will be solely responsible for the development, operation and maintenance of your site and for all materials that appear on your site. You will be responsible for:

• The technical operation of your site and all related equipment
• Creating and posting product descriptions on your site and linking those descriptions
• The accuracy and appropriateness of materials posted on your site (including, among other things, all product-related materials)
• Ensuring that materials posted on your site do not violate or infringe upon the rights of any third party (including, for example, copyrights, trademarks, privacy, or other personal or proprietary rights)
• Ensuring that materials posted on your site are not defamatory or otherwise illegal
• Ensuring that your site is kept up to date with correct information (including medication, prices and any specials we offer)
• Ensuring that your site abides by the Dynamiclear internet distribution protocol

Banners and images

Once you login, you will have access to our full range of banners and text link ads. If you require any specific text, images or information please contact us and we can provide it for you.

Unsolicited Commercial Email

Dynamiclear in no way participates in any form of Spam promotions, this includes mass unsolicited emailing (i.e. spamming or similar tactics). Violation of this policy may result in the termination of your Dynamiclear Affiliate Account.

Scumware

Scumware includes the use of software that hides banners displayed on a site, the placement of icons beside keywords or found in text that, if clicked on, will take the visitor to someone else's site, etc. Affiliates using such methods may have their account terminated.

Commissions will not be paid on schemes that fall into any of the mentioned practices.

Relationship of Parties

You and Dynamiclear are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative or employment relationship between the parties.

You have no authority to make or accept any offers or representations on our behalf, or us on your behalf. Please make no statement, whether on your site or otherwise, that reasonably would contradict this statement. This agreement may be terminated by either party without prejudice.

Limitation of Liability

We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Dynamiclear Affiliate Program will not exceed the total commissions paid or payable to you under this Agreement.

Disclaimers

We make no express or implied warranties or representations with respect to the Dynamiclear Affiliate Program or your potential to earn income from the program. In addition, we make no representation that the operation of our site or the Affiliate Sites will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.

By submitting the Dynamiclear Affiliate Program enrollment form, you acknowledge that you have read this agreement and agree to all its terms and conditions. You have independently evaluated this program and are not relying on any representation, guarantee or statement other than as set forth in this agreement.
